FundingOps Disclaimer

Applies to: the FundingOps practice of Dime Legacy Partners ("DLP"), including its three services (Diligence Readiness, Funder Access, and Credit Readiness), the FundingOps brief, the Data Room Map, the credit-readiness assessment, any Introduction DLP makes, and every page, document, email, and report that carries the short FundingOps disclaimer. It supplements, and does not replace, DLP's Terms of Service.

This document is an initial legal framework generated from a technical audit of the DLP platform. It is not a substitute for advice from qualified legal counsel and must be reviewed before publication, including a check against the limitation of liability in the Terms of Service and the regulatory position in Nigeria, Ghana, and Kenya. It is intended to be linked from, or embedded in, every FundingOps screen and document, not only published as a standalone page.

1. Definitions

"FundingOps" means DLP's practice that helps a business prepare for funding and introduces it to Third Parties. "Diligence Readiness", "Funder Access", and "Credit Readiness" are its three services.

"Introduction" means DLP's act of introducing you to a Third Party.

"Third Party" means any adviser, funder, lender, investor, bank, issuing house, or other organisation to which DLP introduces you or which you engage in connection with FundingOps. A Third Party is independent of DLP.

"Data Room" means the collection of documents you assemble for funders or lenders to review, hosted by you on a platform you choose.

"Readiness Output" means any assessment, score, guidance range, checklist, report, or explanation produced through FundingOps.

"You" means the person or business using FundingOps.

Other capitalised terms have the meaning given in our Terms of Service.

2. What FundingOps is

FundingOps provides preparation, guidance, assessment, and Introductions for businesses seeking funding in Nigeria, Ghana, or Kenya. Using FundingOps does not, by itself, create an advisory, brokerage, lending, or agency relationship with DLP. A separate engagement letter, described in our Terms of Service, is required before DLP performs engagement work.

3. What FundingOps is not

DLP is not a licensed investment adviser, broker, arranger, issuing house, lender, or credit rating agency, and FundingOps is not:

• investment, legal, tax, accounting, or other professional advice, and

you should not rely on Readiness Output as the basis for a binding decision without independent advice;

• an offer, invitation, or solicitation to buy or sell securities, to make

a deposit, or to extend or obtain credit;

• arranging, placing, underwriting, or brokering any transaction;

• a valuation or fairness opinion: any valuation figure or range DLP gives

is indicative guidance only;

• a credit rating, credit decision, or commitment by any party to lend:

the credit-readiness assessment shows where a lender is likely to see risk and what to fix, and nothing more; or

• a guarantee, prediction, or assurance of funding, of any terms, of any

timing, or of any outcome.

4. Introductions and Third Parties

DLP may introduce you to Third Parties, and only with your consent. Before you consent you will see the kind of party and the market, not the Third Party's name; the name and licence details are shown after you agree.

Third Parties are independent. Any engagement is directly between you and the Third Party, on their terms, and DLP is not a party to it. An Introduction is not a recommendation, endorsement, warranty, or assurance of a Third Party's licensing, suitability, performance, or solvency, and you remain responsible for your own checks, including confirming that a Third Party holds any licence it needs for the services it will provide to you. DLP's Introduction is never conditional on, and is never paid for by reference to, any funding you obtain.

5. No guarantee of outcomes

Funders and lenders make their own decisions, which are usually discretionary. Readiness work can improve your position but cannot assure a result, a particular price or term, or a timetable.

6. Your responsibilities

You are responsible for:

• the accuracy and completeness of everything you give DLP and any funder

or lender, including your Data Room;

• your own due diligence on any Third Party and any transaction;

• taking independent legal, tax, and financial advice; and

• complying with the securities, companies, lending, and financial

promotion laws that apply to you as an issuer, borrower, or promoter, including not offering securities to the public where a registration or approval applies and has not been obtained.

7. Your Data Room and your data

The Data Room is hosted by you on a platform you choose. DLP does not host, store, copy, or review its contents. DLP keeps only the checklist, your progress against it, and the link you provide, which DLP stores and displays but never opens on your behalf. You control who has access to your Data Room. Third-party platforms are governed by their own terms and security. Do not upload Data Room material to DLP; the platform turns uploads off for Diligence Readiness engagements for this reason.

Information you give DLP for FundingOps is handled as described in our Privacy Policy. Where you consent to an Introduction, DLP shares only what is needed for that Introduction and only after your consent.

8. Fees

Fees for FundingOps are fixed and agreed in writing before any invoice. DLP does not charge a share of any amount you raise or borrow, does not charge success or finder's fees, and does not accept payment from any Third Party in connection with an Introduction. Commercial terms are not recorded on this platform.

9. Jurisdictions and change of law

Rules on securities, commercial paper, lending, companies, and data protection in Nigeria, Ghana, and Kenya change. Readiness Output is current only as at its stated date, is general in nature, and is not tailored legal advice. Where a regulator's determination differs from Readiness Output, the regulator's determination controls.

10. Forward-looking and indicative content

Projections, ranges, and scores are estimates based on what you provided and on stated assumptions. Actual results will differ.

11. Limitation of liability and no reliance

To the fullest extent permitted by law, and as set out in our Terms of Service, DLP is not liable for any funding decision or outcome, for the acts or omissions of any Third Party, or for loss arising from reliance on Readiness Output.

12. Governing law, changes, and contact

Governing law and forum are as set out in our Terms of Service. The version and effective date of this Disclaimer are shown on this page. DLP may update this Disclaimer; a material change will be shown to you and will ask you to acknowledge it again before your next FundingOps action.
