Electronic Signature Disclosure and Consent

Applies to: the agreement signing flow on dimelegacy.com and partners.dimelegacy.com, used for engagement letters, scopes of work, role brief confirmations, implementation agreements, and partner onboarding agreements.

This document is an initial legal framework generated from a technical audit of the DLP platform's e-signature flow. It is not a substitute for advice from qualified legal counsel and must be reviewed before publication. It is intended to be presented to, and accepted by, a recipient before they sign a document electronically, not only published as a standalone page.
1. Why we are showing you this
Nigerian, Ghanaian, and Kenyan law recognise electronic signatures and electronic records as legally valid, subject to certain conditions. Before you sign a document electronically through the DLP platform, we are required to explain how the process works and to obtain your consent to sign electronically rather than on paper.
2. Legal basis
Electronic signature and electronic records are supported, in the jurisdictions DLP operates in, by:
Nigeria: the Evidence Act 2011, section 93, which recognises the
admissibility of electronic signatures and electronic records, and the Nigeria Data Protection Act 2023 for the personal data captured in the process.
Ghana: the Electronic Transactions Act, 2008 (Act 772).
Kenya: the Kenya Information and Communications Act (as amended),
and the Kenya Data Protection Act 2019 for the personal data captured in the process.
DLP's electronic signature process is designed to build a clear evidentiary trail (identity verification, timestamp, and device information) that supports the validity of your signature under these laws, rather than relying on a typed name alone.
3. How the signing process works
A DLP admin creates the agreement from an approved template and sends
it to your email.
You open the signing link and the document is rendered in the
platform.
You must scroll to the end of the document before the signature step
becomes available.
A one-time passcode is sent to your email and must be verified within
10 minutes.
You draw your signature on-screen; an empty or minimal signature is not
accepted.
You are shown, and must accept, a binding declaration confirming your
intent to sign electronically.
The platform records the timestamp, your IP address, a device
fingerprint, the one-time passcode verification, and a cryptographic hash of the exact document you signed, so that any later alteration to the document can be detected.
A signed copy is sent to you and to DLP immediately, and the document
is backed up securely once DLP has countersigned it.
4. Your consent
By proceeding past this point and completing the steps above, you confirm that:
You consent to sign this document electronically, and to receive
related records and notices electronically, rather than on paper;
You have the legal authority to sign this document, on your own behalf
or, where applicable, on behalf of the organisation you represent;
You understand that your electronic signature has the same legal effect
as a handwritten signature on paper, subject to the laws referenced in Section 2;
You have the technical ability to access, view, and retain a copy of
the signed document, which will be sent to your email.
5. Withdrawing consent
You may decline to sign electronically at any point before completing step 6 above, simply by not completing the signing flow. If you would prefer to sign on paper, contact your DLP advisor to arrange this instead; this may affect the timeline of your engagement. Once a document has been signed and countersigned, it cannot be voided through the platform; voiding a signed agreement is only possible through DLP's offline legal process.
6. Retention of the signed document
Signed agreements are retained indefinitely as an evidentiary record and are not deleted at your request, consistent with DLP's legal obligation to preserve them. See our Privacy Policy for further detail on retention.

8. Governing law
This Disclosure is governed by the laws of the Federal Republic of Nigeria, without prejudice to the recognition of electronic signatures under the law of Ghana or Kenya where the signatory is located in, or the agreement otherwise relates to, those jurisdictions.
